Terms of Service

1. Acceptance of Terms

By accessing or using GoMonio ("the Service"), operated by Tilitoimisto Kipinä Oy, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users of the Service, including but not limited to business users and agency users who manage clients through our platform.

2. Description of Service

GoMonio is a financial management platform for small businesses and the agencies, such as accounting firms, that serve them. All modules share the same company data. Our Service includes:

• Bookkeeping: processing receipts and purchase invoices, double-entry bookkeeping, VAT reports, income statement and balance sheet
• Invoicing: sales invoices with VAT and reference numbers, linked to bookkeeping and cash flow
• Cash flow: bank transactions, categories, budgets, goals, forecasts and reports
• Documents: storage and organization of receipts, invoices, contracts and other files
• Transaction import from CSV files, and bank connections through a PSD2 provider
• Client management for agencies that manage several client companies
• Team members with role-based access, data export and GDPR-compliant data management

3. User Accounts and Registration

3.1 Account Types

We offer two types of user profiles:

• Business: For business financial management (Basic and Premium tiers)
• Agency: For agencies managing multiple business clients (Starter, Standard, Professional, Enterprise tiers)

3.2 Registration Requirements

To use our Service, you must:

• Provide accurate and complete registration information
• Verify your email address
• Be at least 18 years old or have legal capacity to enter into contracts
• Maintain the security of your account credentials

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We implement security measures including password hashing, rate limiting, and session management, but you must also take reasonable steps to protect your account.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription tiers organized by user type:

Business Plans:

• Free: Cash flow, bookkeeping, communication and invoicing for 3 users, up to 8 transactions per month
• Basic: Cash flow, bookkeeping, communication and invoicing for 3 users, up to 100 transactions per month
• Premium: Cash flow, bookkeeping, communication and invoicing for 3 users, unlimited transactions

Agency Plans:

• Starter: Up to 3 clients and 5 team members
• Standard: Up to 5 clients and 5 team members
• Professional: Up to 20 clients and 5 team members
• Enterprise: 40+ clients with metered billing and 5 team members

4.2 Payment and Billing

All purchases of GoMonio subscriptions are sold by Paddle.com, who acts as our merchant of record. Paddle handles payment processing, invoicing, sales tax collection, and is the seller of record for all transactions. Subscription fees are billed in advance on a recurring basis. By completing a purchase, you also agree to Paddle's Checkout Buyer Terms available at paddle.com/legal/checkout-buyer-terms.

Agency profiles require immediate billing setup upon registration. Enterprise agencies are subject to additional per-client charges of €20 per month for each client beyond the 40-client base allowance.

4.3 Additional Users and Member Slots

Business plans include 3 users and agency plans include 5 members. On paid plans, extra users and member slots can be purchased for €20 per month or €200 per year each. Billing intervals for extra users and member slots automatically match your main subscription billing frequency.

4.4 Cancellation and Refund Policy

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to GoMonio until the end of your current billing period. All payments are processed by our merchant of record, Paddle.com. Business Profiles: Paid Business subscriptions include a 60-day money-back guarantee. You may request a full refund within 60 days of your initial purchase. Agency Profiles: Agency subscriptions may be cancelled at any time. Refunds are provided as required by applicable law. Discount and Promotion Codes: Discount and promotion codes reduce your subscription price for a specified number of billing cycles but do not constitute prepayment for those cycles. If you cancel your subscription during an active discount period, your access will end at the conclusion of your current billing cycle. Any remaining discounted billing cycles will be forfeited and cannot be claimed later. To request a refund, contact us at support@gomonio.com. After the applicable refund period has expired, no refunds will be issued for unused subscription periods.

5. Agency Services and Client Management

5.1 Agency-Client Relationships

Agencies may invite and manage business clients through our platform. Client limits apply based on your subscription tier:

• Starter: 3 clients maximum
• Standard: 5 clients maximum
• Professional: 20 clients maximum
• Enterprise: 40 base clients (unlimited with per-client billing)

5.2 Client Invitations

Agency invitations are valid for 7 days and require email verification. Clients automatically receive premium tier features at no cost while managed by an agency. If a business has an active paid subscription when accepting an agency invitation, a prorated refund will be issued for the unused portion of their billing period.

5.3 Data Access and Responsibility

Agencies have access to their clients' financial data as necessary to provide services. Agencies are responsible for maintaining client confidentiality and complying with applicable data protection laws regarding client information.

6. Data Import and Bank Integration

6.1 Transaction Import

You may import transaction data via CSV files. You are responsible for ensuring the accuracy and legality of all imported data. We provide tools for data validation and categorization but do not guarantee the accuracy of imported information.

6.2 Bank Integration (PSD2)

Bank connections are provided through a third-party PSD2 provider (GoCardless). By connecting a bank account, you authorize us to retrieve its balances and transactions through that provider. Bank consents expire and must be renewed periodically as required by your bank. We implement appropriate security measures but are not responsible for outages or data errors at the third-party provider or your bank.

7. Data Protection and Privacy

7.1 Data Processing

We process your financial data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. We implement appropriate technical and organizational measures to protect your data.

7.2 Data Retention

When you delete a company profile, it is first marked for deletion and permanently deleted after 30 days. When you delete your user account, it is deactivated and permanently deleted after one year unless you reactivate it. We do not keep accounting records on your behalf after a profile is deleted, except where we are required to retain data by law. Under the Finnish Accounting Act, books and financial statements must generally be kept for 10 years, and vouchers such as receipts and invoices for 6 years. You are responsible for exporting and keeping the records you are required to retain before you delete a profile. A company profile on the Free plan can instead be moved to the read-only archive for a one-time fee, where it is kept until 10 years after the end of the last financial year with bookkeeping (or 10 years after archiving, if later) and then permanently deleted. We do not send reminders before an archive is deleted.

7.3 Data Export

You may export your data at any time through our platform's export features. We provide data in standard formats to ensure portability.

8. Acceptable Use

You agree not to:

• Upload false, inaccurate, or misleading financial information
• Use the Service for any illegal financial activities
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or otherwise attempt to extract source code
• Use the Service to transmit malware or other harmful software
• Violate any applicable laws or regulations
• Upload documents or files that you do not have the right to store or share

9. Intellectual Property

The Service and its original content, features, and functionality are owned by GoMonio and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your financial data and of the documents and files you upload, such as receipts, invoices and contracts. By using our Service, you grant us a limited license to store, process and analyze this data solely to provide the Service to you.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

GoMonio is a financial management and bookkeeping tool and does not provide financial, accounting or tax advice. We are not responsible for decisions made based on information from our Service. You should consult qualified professionals for advice on your situation.

10.2 Limitation of Liability

To the maximum extent permitted by law, GoMonio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses.

10.3 Data Accuracy

While we strive to maintain accurate data processing, we do not guarantee the accuracy, completeness, or reliability of any financial calculations or reports generated by our Service.

10.4 Accounting and Tax Responsibility

GoMonio provides tools for bookkeeping, VAT reporting and invoicing, but you remain responsible for your own bookkeeping, financial statements and invoices, and for filing VAT returns and other reports with the authorities correctly and on time. Review VAT reports, income statements, balance sheets and other reports produced by the Service before you file or rely on them. GoMonio does not provide accounting, auditing or tax advisory services unless agreed separately in writing.

11. Termination

Either party may terminate these Terms at any time. Upon termination:

• Your access to the Service will cease immediately
• Your subscription will be cancelled (refunds are subject to our refund policy in section 4.4)
• Your data will be handled as described in section 7.2
• Agency-client relationships will be terminated

We may terminate or suspend accounts that violate these Terms or engage in prohibited activities.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Finland. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Finland.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of the Service after changes constitutes acceptance of the new Terms.

For significant changes, we will provide reasonable notice through email or prominent notice within the Service.
